(1) Represents shares of common stock, par value $0.0001 per share (Common Stock) of HealthEquity, Inc. (the Registrant), issuable under time-vested restricted stock units granted under the WageWorks, Inc. 2010 Equity Incentive Plan, as amended and restated (the Plan), which awards were assumed by the Registrant on August 30, 2019 and converted into restricted stock unit awards of the Registrant in connection with the acquisition of WageWorks, Inc. (WageWorks) pursuant to an Agreement and Plan of Merger, dated June 26, 2019, by and among the Registrant, WageWorks, and Pacific Merger Sub Inc., a wholly owned subsidiary of the Registrant. In addition, pursuant to Rule 416(a) under the Securities Act of 1933, as amended (the Securities Act), this Registration Statement shall also cover any additional shares of Common Stock that become issuable under the Plan by reason of any stock dividend, stock split, recapitalization or other similar transaction.
(2) Estimated solely for the purpose of calculating the amount of the registration fee pursuant to Rules 457(c) and 457(h) of the Securities Act, based on the average of the high and low sales prices of the Registrants Common Stock as reported on The NASDAQ Global Select Market on August 27, 2019.
EXPLANATORY NOTE
On August 30, 2019, pursuant to the Agreement and Plan of Merger (the Merger Agreement), dated June 26, 2019, by and among HealthEquity, Inc. (the Registrant), WageWorks, Inc. (WageWorks), and Pacific Merger Sub Inc., a wholly owned subsidiary of the Registrant (Merger Sub), Merger Sub merged with and into WageWorks, with WageWorks being the surviving corporation and continuing as a wholly owned subsidiary of the Registrant (the Merger).
Pursuant to the terms of the Merger Agreement, at the effective time of the Merger, certain outstanding restricted stock units issued under the WageWorks, Inc. 2010 Equity Incentive Plan, as amended and restated (the Plan) were assumed by the Registrant and converted into restricted stock units with respect to the common stock, par value $0.0001 per share (Common Stock) of the Registrant equal to the product (rounded down to the nearest whole share) of (i) the number of shares of WageWorks common stock subject to such award immediately prior to the effective time and (ii) the quotient (rounded to four decimal places) obtained by dividing (A) $51.35 by (B) the volume weighted average price of a share of the Registrants Common Stock on The NASDAQ Global Select Market for the twenty (20) trading days ending with the trading day immediately preceding the closing date of the Merger.
This Registration Statement on Form S-8 registers 544,089 shares of Common Stock, that are issuable by the Registrant upon settlement of the outstanding restricted stock units issued under the Plan and assumed by the Registrant in connection with the Merger.

Section 145 of the Delaware General Corporation Law authorizes a court to award, or a corporations board of directors to grant, indemnity to directors and officers in terms sufficiently broad to permit such indemnification under certain circumstances for liabilities, including reimbursement for expenses incurred, arising under the Securities Act.
The Registrants amended and restated certificate of incorporation and amended and restated bylaws provide that the Registrant will indemnify its directors and officers, and may indemnify its employees and other agents, to the fullest extent permitted by the Delaware General Corporation Law. The Registrants bylaws also provide that the Registrant is obligated to advance expenses incurred by a director or officer in advance of the final disposition of any action or proceeding, and permit the Registrant to secure insurance on behalf of any officer, director, employee or other agent for any liability arising out of his or her actions in that capacity regardless of whether the Registrant would otherwise be permitted to indemnify him or her under the provisions of Delaware law. However, Delaware law prohibits the Registrants certificate of incorporation from limiting the liability of the Registrants directors for the following:
· any breach of the directors duty of loyalty to the Registrant or to the Registrants stockholders;
· acts or omissions not in good faith or that involve intentional misconduct or a knowing violation of law;
· unlawful payment of dividends or unlawful stock repurchases or redemptions; and
· any transaction from which the director derived an improper personal benefit.
The Registrant has entered into indemnification agreements with each of its directors and officers and some of its employees. With specified exceptions, these agreements provide for the indemnification of such persons for related expenses and liabilities incurred in connection with any action or proceeding brought against them by reason of the fact that they are or were serving in such capacity.
